Notice of Extraordinary General Meeting (16.10.2026)
NOTICE IS HEREBY GIVEN THAT an Extraordinary General Meeting of the Association will be held on the following date, and at the following time and place namely:-
Date : Friday, 16 October 2026
Time : 3:00 p.m.
Place : Meeting Room 7, 1st Floor, Olympic House, 1 Stadium Path, Causeway Bay, Hong Kong
for the purpose of considering and, if thought fit, passing the following resolutions as a Special Resolution of the Association:
ALTERATION OF ARTICLES OF ASSOCIATION
TO CONSIDER A SPECIAL RESOLUTION THAT the regulations contained in the Articles of Association of the Association annexed hereto and marked with an ‘A’ (see Annex A on the Notice of Extraordinary General Meeting) for identification purposes be approved and adopted as the amended Articles of Association of the Association in substitution for, and to the exclusion of, all existing Articles of Association of the Association.
A member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and on a poll vote on his behalf. A proxy need not be a member of the Association.
The instrument appointing a proxy or attorney, if any, under which the Form of Proxy is signed, or a notarially certified copy of such power or authority is requested to be deposited at the registered office of the Association not less than 48 hours before the time for holding the meeting.
To be valid, the instrument appointing a proxy, together with the power of attorney or other authority (if any) under which it is signed, or a notarially certified copy of such power or authority, must be deposited with the Secretariat of the Association at Room 1003, 1st Floor, Olympic House, 1 Stadium Path, Causeway Bay, Hong Kong, or by email at sg@hkbaseball.org, as soon as possible and in any event no later than 3:00 p.m. on Wednesday, 14 October 2026, or not less than forty-eight (48) hours before the time appointed for the holding of any adjourned meeting (as the case may be).
